What is the Company incorporation in Spain?

Setting up a business in Spain is your gateway to the entire European Union market. This process, known as company incorporation (constitución de una sociedad), provides a solid legal structure for your project, protects your personal assets, and gives you professional credibility.

The most common and recommended legal structure for SMEs and startups is the Sociedad Limitada (S.L.). It offers limited liability for its shareholders, requiring a minimum share capital of just €1.

The process of creating a company in Spain involves several essential steps that must be followed in a specific order.

It all starts with obtaining the NIF (Tax Identification Number) for all non-Spanish shareholders. This is a mandatory first step.

Next, we must secure your desired company name by requesting a Name Certificate (Certificado Negativo de Denominación Social) from the Central Mercantile Registry.

With these steps completed, we draft the company bylaws (estatutos sociales), which define the rules of your company. We then sign the public deed of incorporation before a Spanish notary and handle the entire registration process with the Spanish Commercial Registry.

Once this process has been completed, we proceed with opening a bank account in a Spanish bank, and then your company will be ready to start operating here.

These are requirements for Company Formation in Spain applicants:

NIE for all Directors/Shareholders

Every foreign founder and director must first obtain a Spanish Foreigner’s Identification Number (NIE).

Unique Company Name

The proposed name for your company must not already be in use by any other company in Spain.

Minimum Share Capital

You can incorporate a Sociedad Limitada (S.L.) with a minimum capital of €1.

Spanish Address

Do I need to be physically in Spain to set up the company?

No. By granting us a power of attorney (which you can sign at a Spanish consulate or a notary abroad with an apostille), we can carry out every single step on your behalf, including obtaining your NIE, opening the bank account, and signing at the notary.

How long does the entire company formation process take?

While some steps are very fast, the full process,takes between 4 and 8 weeks. We manage everything to make it as efficient as possible.

What is the minimum share capital for an S.L. and can I use it?

The minimum is €1. Once the company is officially registered, this money is fully available to the company to be used for its business expenses, such as paying for rent, suppliers, or salaries.

Can I be the sole owner and director of the company?

Yes, absolutely. You can create a “Sociedad Limitada Unipersonal” (Single-Member Limited Company), where you are the 100% shareholder and the sole director (administrador único).
