Corporate tax and compliance in Spain is the set of recurring legal and fiscal obligations that every company must meet to operate legally. Failing to comply not only leads to heavy penalties but can also halt your business operations.

The cornerstone is the Corporate Income Tax (Impuesto de Sociedades), the tax levied on your company’s profits. The general tax rate is a flat 25%. However, newly created companies enjoy a reduced rate of 15% for the first two years of profit.

Throughout the year, your company has quarterly tax obligations. This includes filing VAT returns (IVA) through Form 303 and declarations for withholdings on employee payrolls and professional invoices (Forms 111 and 115).

Meeting these quarterly deadlines is non-negotiable to avoid automatic penalties.

Once the fiscal year ends, two major annual obligations arise. First is the final Corporate Tax return (Form 200), which is filed in July. This declaration consolidates your annual profits and calculates your final tax liability.

Second, you must prepare and file the Annual Accounts (Cuentas Anuales) with the Mercantile Registry (Registro Mercantil). These are your company’s official financial statements (balance sheet, P&L, etc.) and they provide public transparency.
